1. Scope and Acceptance

These Terms and Conditions (“Terms”) govern the use of this website and all services and transactions facilitated by Morland Atlantic Trading Company LTD (“Morland,” “we,” or “us”). By accessing our site or engaging with us as a buyer, supplier, logistics provider, or compliance partner, you agree to be bound by these Terms in full.

These Terms apply to all legal entities, business representatives, and professionals engaging with Morland in connection with the legal importation, documentation, storage, and distribution of industrial hemp goods within the European Union. These Terms do not apply to consumer-facing or retail engagements.

2. Business Eligibility

Morland only conducts business with duly registered companies, licensed buyers, and authorized industrial processors. You represent and warrant that:

· You act on behalf of a legal entity registered in your jurisdiction;

· You are authorized to engage in trade involving hemp-derived botanical materials;

· You will not request or attempt to obtain services for unlawful or personal purposes.

3. Intended Use Restrictions

All goods handled by Morland must be designated for lawful, non-consumable use. Specifically:

· Only goods intended for aromatic, technical, or industrial applications will be processed;

· No goods labeled or marketed for smoking, ingestion, therapeutic, or recreational use may be offered for distribution under our import authority;

· Products must conform to national positioning and classification laws in the destination country.

4. Import Coordination and Liability

Morland acts as the Importer of Record (IOR) for hemp flower shipments entering the European Union. Our duties include coordination of:

· EU customs declarations and import filings;

· THC compliance verification (≤ 0.3% delta-9 THC, or lower where required);

· Labeling and product localization per country-specific requirements;

· Chain-of-custody control through bonded storage.

Morland does not assume liability for:

· Seizures or delays caused by incomplete or inaccurate supplier documentation;

· Customs classification disputes resulting from undeclared components;

· Non-conformity with Member State-specific rules unless explicitly reviewed in advance.

5. Documentation Requirements

Suppliers and partners must provide, without exception:

· Valid Certificates of Analysis (COAs);

· Proof of U.S. licensure under the 2018 Farm Bill;

· Label samples and declarations of use;

· Full disclosure of cannabinoid profile and origin details.

Morland reserves the right to suspend or cancel services in the event of false, outdated, or non-conforming documentation.

6. Payment and Service Terms

All commercial agreements with Morland are governed by separate export or import contracts. Absent a specific written agreement, services rendered by Morland are subject to:

· Pre-agreed flat onboarding and processing fees;

· Monthly storage, intake, or distribution charges where applicable;

· Net 30 payment terms unless otherwise stated in writing.

Morland reserves the right to suspend services for overdue accounts or breach of contract.

7. Intellectual Property

All content on this website, including logos, documentation templates, and brand assets, is the exclusive property of Morland Atlantic Trading Company LTD or its licensors. No use, reproduction, or distribution is permitted without prior written consent.

8. Limitation of Liability

Morland shall not be liable for indirect, incidental, special, or consequential damages, including:

· Loss of profits or anticipated revenue;

· Third-party regulatory action or business disruption;

· Delays caused by force majeure, customs intervention, or transport irregularities.

Total liability under these Terms is limited to the direct fees paid by the user for services within the three-month period preceding the event.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of Ireland. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dublin, Ireland. Morland reserves the right to seek injunctive relief in any competent court to protect its rights or enforce compliance.

10. Amendments and Updates

Morland may update these Terms from time to time. The most current version will always be posted on our website. Continued use of our services after such updates constitutes your acceptance of the revised Terms.
